ARTICLE I ORGANIZATION
1. The name of the organization shall be Arizona Retriever Rescue, aka AZRR.
2. The formation date of this organization is January 1, 2006
.
ARTICLE II PURPOSE, MISSION, AND RESCUE POLICY
The following
is the purpose for which this organization has been organized:
1.
The purpose of AZRR is
to rescue and re-home Retrievers.
2.
The mission of Arizona
Retriever Rescue is to accept:
a.
Purebred Golden, Flat-coated, Curly Coated, Chesapeake Bay and
Nova Scotia Duck Tolling Retrievers of any age and regardless of medical
condition or age.
b.
It is not necessary for the dog be registered with the American
Kennel Club (AKC).
c.
Labrador Retrievers and mixed-breed dogs, which are part
Retriever will generally be referred to other rescue organizations.
3.
Priority for acceptance
will be given to dogs as follows:
abusive situation, shelter stray, and owner turn-in.
4.
Any dog that is not
listed in the group above, may be accepted upon approval by a majority
of The Board.
5.
Arizona Retriever
Rescue will NOT accept into the program any dog with a history of
biting a human or of any type of aggression toward other humans or
animals of any type.
6.
The adoption fee for
any age Retriever shall be determined by The Board of Directors; the fee
schedule may be changed at any time by a vote of The Board.
7.
Based on the medical
history and adoptability of the dog, the adoption fee may be adjusted
and/or waived. Final
determination of the fee shall be the responsibility of the Vice
President.
ARTICLE III MEMBERSHIP
1.
Membership
in this organization shall be open to all who wish to pay a yearly
membership fee.
2. The
dues of this organization shall be determined by the Board of Directors
and shall be payable on the first of the month the membership expires.
3.
The primary method of communication with the
membership will be via email. ARTICLE IV MEETINGS
1. The Board will convene once a month or whenever
the Board deems necessary.
2.
A membership meeting will be called once
each six-month period or whenever the majority of the Board deems
necessary.
3.
The secretary will send a notice to every
member in good standing at the email address as it appears in the
membership database in this organization.
The notice will include information
regarding the time and place of such membership meeting.
a.
The time and place of the meetings is to be announced no later than
fifteen (15) days prior to the meeting. ARTICLE V BOARD OF DIRECTORS
1.
A Board of Directors consisting of up to (5)
voting members and two (2) nonvoting member shall manage the business of
this organization for a one year term beginning January 1 and ending
December 31 of each calendar year.
2.
All members of the Board must be residents
of the State of Arizona.
3.
Board vacancies occurring mid term will be filled
by board appointment.
4.
No later than December 31 of each year, a
new Board must be voted in by a majority vote of the membership.
a.
Majority vote is defined as a majority of all those members who wish to
vote. ARTICLE VI OFFICERS OF THE BOARD OF DIRECTORS
The initial officers of
the organization shall be as follows:
1.
President:
a. The
President shall preside at all membership meetings.
b. The
President shall have one vote.
c. The President
shall present at each annual meeting of the organization an annual
report of the organization.
d. The
President shall review all books, reports and certificates required by
law are properly kept or filed.
e. The
President shall be one who authorizes all expenditures over five hundred
($500).
f.
The President shall have such powers as may be reasonably construed as
belonging to the chief executive of any organization.
2.
Vice President of Dogs (VPD also known as 1st
VP):
a. The VPD shall in
the event of absence or inability of the President to exercise his/her
office shall become acting President with all the rights, privileges and
powers as if he/she had been the duly elected office.
b. The VPD shall
have one vote.
c. The VPD, with
recommendations from other Board members, shall appoint, organize and
manage all committees, temporary or permanent involving dog related
issues.
d. The
Vice-President shall have such powers as may be reasonably construed as
belonging to a Vice President of any organization.
3.
Vice President of People (VPP
also known as 2nd VP)
a. The
VPP shall have one vote.
b. The VPP, with
recommendations from other Board members, shall appoint, organize and
manage all committees, temporary or permanent which pertain to any
people or non-dog issues.
c. The VPP shall
have such powers as may be reasonably construed as belonging to a Vice
President of any organization
4.
Secretary:
a.
Duties of secretary.
i. Shall
maintain and be the official custodian of all minutes, records,
certificates and any and all paperwork and correspondence pertaining to
the business of the organization.
ii. The secretary shall have one vote.
iii. The secretary shall attend to all
correspondence of the organization and shall exercise all duties
incident to the office of secretary.
5.
Treasurer
a. Duties of
treasurer:
i.
Shall have care and custody of all monies
belonging to the organization and shall be solely responsible for such
monies, deposits, reporting, check signing and reporting of financial
information of the organization.
b. The
treasurer shall have one vote.
c. The
treasurer shall attend to all financial handling of the organization and
shall exercise all duties incident to the office of treasurer.
6.
Director of Membership
a.
Duties
of the Director of Membership
i.
Retain existing members, re-enlist inactive members and
initiate activities to attract new members.
b.
Director of Membership is a non-voting
member of the board.
7. Advisor
a. The advisor
shall attend Board meetings with the purpose being to advise when needed
or requested in business matters concerning the organization.
b. The advisor is a
nonvoting position.
ARTICLE VII VOTING
1.
At all meetings,
except for the election of Board of Directors, all votes shall be by hand
count.
2.
Prior
to the commencement of balloting for the Board of Directors, the president
shall appoint a committeewho shall act as "Inspectors of Election" and who
shall, at the conclusion of such balloting, certify in writing to the
secretary the results and certified copy shall be physically affixed in the
minutes of that meeting.
a.
No inspector of
election shall be a candidate for office or shall be personally interested
in the question voted upon.
b.
Active members shall be
notified of method of balloting for the election of Board of Directors no
later than 45 days prior to the commencement of balloting.
c.
If all board positions have only one candidate as of
November 15, a vote will not be taken and the candidates running unopposed
will assume the Board positions by default.
ARTICLE VIII DISSOLUTION OF ORGANIZATION
Upon dissolution of the corporation the assets will be used for exempt purposes.
ARTICLE IX Parliamentary Authority
The Parliamentary Authority for all business conducted by Arizona Retriever
Rescue shall be governed by Robert's Rules of Order,
Newly Revised.
Robert's Rules of Order
whenever necessary shall also govern the proceedings of the organization in all
cases not covered by the By-laws.
ARTICLE X CODE OF CONDUCT
AZRR will not tolerate any actions or comments
or racial or religious slurs, jokes or any other comments or conduct
that creates, encourages or permits an offensive or intimidating
environment. This applies to both group communications and
one-on-one communications.
Other unacceptable behaviors include
threats, violent behavior, intimidation, use of obscenities and
personal slander.
AZRR will maintain an open and friendly
environment encouraging members to voice their concerns, opinions,
and suggestions.
All volunteer membership listings are for
internal use only and should not be distributed to anyone outside of
our organization and should only be used to address AZRR interests.
All
information gained through applications, forms, emails, or records
are confidential and not to be used for any interest outside that of
AZRR.
